MachineryLots – Terms of Service

    IMPORTANT: THIS IS A LEGALLY BINDING AGREEMENT.

    By accessing or using MachineryLots.com ("MachineryLots," "we," "our," or "the Platform"), you agree to these Terms of Service ("Terms").

    If you do not agree, you must not use the Platform.

    MachineryLots is an online listing and communication platform only. We are not a dealer, not a broker, not an agent, and not a party to any transaction.

    1. Nature of the Platform

    MachineryLots provides an online marketplace where individuals and dealers can create listings, browse listings, send inquiries, and arrange to buy or sell equipment.

    MachineryLots:

    • Does not own any listed equipment
    • Does not inspect, verify, or guarantee any listing
    • Does not get involved in transactions between buyers and sellers
    • Does not guarantee that sellers are legitimate
    • Does not guarantee that buyers are legitimate
    • Does not handle payments, deposits, delivery, financing, or title transfer

    All transactions are strictly between the buyer and the seller. You acknowledge that MachineryLots is not responsible for the conduct of users, dealers, or third parties.

    2. Eligibility

    To use the Platform, you must:

    • Be at least 18 years old
    • Have legal capacity to enter agreements
    • Use the Platform for lawful purposes only

    Dealers must be authorized representatives of their business.

    3. User and Dealer Accounts

    • You must provide accurate account information.
    • You are responsible for maintaining the confidentiality of your login.
    • You are responsible for all activity under your account.
    • MachineryLots is not liable for unauthorized use of your account.
    • Dealers remain fully responsible for all listings posted under their profile (including those posted by an admin on their behalf).

    We may suspend or terminate accounts at our discretion for violations, fraud, or misuse.

    4. Listings and Content

    4.1 Responsibility for Listings

    Sellers (dealers and individuals) are fully and solely responsible for:

    • Accuracy of descriptions, specifications, pricing, and photos
    • Authenticity and legal ownership of equipment
    • Disclosure of condition, defects, liens, or encumbrances
    • Compliance with applicable laws
    • Ensuring equipment is not stolen, misrepresented, or fraudulent

    MachineryLots does not verify any listing or seller.

    4.2 Posting Prohibited Content

    Users may not post:

    • Stolen equipment
    • Fraudulent or misleading listings
    • False identity or impersonation
    • Illegal or dangerous items
    • Scams or misleading content
    • Content infringing on intellectual property rights

    We may remove listings at any time for any reason.

    5. Buying and Selling Equipment

    MachineryLots is not a party to any sale or negotiation.

    Buyers acknowledge:

    • They must verify seller legitimacy
    • They must inspect equipment before purchase
    • They assume all risks dealing with sellers
    • MachineryLots does not guarantee listing accuracy

    Sellers acknowledge:

    • They must verify buyer legitimacy
    • They assume all transaction risks
    • They are solely responsible for completing transactions safely

    MachineryLots provides no guarantees, protections, or transaction insurance.

    6. Fraud, Scams, and Safety

    MachineryLots does not verify identity or authenticate equipment.

    You acknowledge:

    • Fraudulent actors may attempt to use online platforms
    • You are fully responsible for due diligence
    • MachineryLots is not responsible for losses from scams, theft, misrepresentation, or illegal activity
    • MachineryLots may ban accounts or report suspicious activity

    7. Communications and Leads

    By submitting an inquiry:

    • Your information is provided to the seller
    • The seller may contact you
    • MachineryLots may contact you for follow-ups or marketing
    • You will not misuse inquiry forms

    MachineryLots does not guarantee delivery or receipt of inquiries.

    8. No Warranty

    MachineryLots is provided "as is" and "as available."

    We do not warrant:

    • Accuracy of listings
    • Legitimacy of users
    • Condition or safety of equipment
    • Uptime or uninterrupted access
    • Error-free operation

    Use the Platform at your own risk.

    9. Limitation of Liability

    MachineryLots is not liable for:

    • Fraud, scams, or theft by users
    • Stolen or defective equipment
    • Losses from inaccurate listings
    • Financial loss or lost profits
    • Disputes between users
    • Payments or fund transfers
    • Downtime, bugs, or errors
    • Data loss or third-party breaches

    Your sole remedy is to stop using the Platform.

    10. Indemnification

    You agree to indemnify and hold MachineryLots harmless from claims arising from:

    • Your listings or content
    • Your transactions
    • Your Platform use
    • Your violations of these Terms
    • Fraudulent or illegal actions linked to your account

    11. Third-Party Services

    MachineryLots uses third-party providers including Supabase, Google, Mapbox, Resend, Lovable, and analytics/hosting services. Your data may be processed according to their policies.

    12. User Disputes

    MachineryLots is not involved in disputes between users and is not liable for any outcomes.

    13. Platform Changes and Termination

    • We may modify, suspend, or discontinue the Platform at any time.
    • We may terminate accounts for any reason.
    • Users may delete accounts at any time.
    • MachineryLots is not responsible for loss of stored information.

    14. Governing Law

    These Terms are governed by Ontario, Canada law.

    Claims must be filed in Ontario courts.

    15. Changes to Terms

    We may update Terms at any time. Using the Platform after changes means you accept the updated Terms.
